Welcome to Velocity POS ("Velocity POS", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of the Velocity POS software, mobile applications, desktop applications, web applications, APIs, websites, and related services (collectively, the "Services").

By creating an account, subscribing to, or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that business to these Terms.

2. License

Subject to these Terms, Velocity POS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services solely for your internal business operations.

You may not:

  • Copy or redistribute the software except as permitted by law.
  • Reverse engineer, decompile, or disassemble the software.
  • Attempt to bypass licensing or security mechanisms.
  • Resell or lease the software without our written permission.
  • Use the Services for unlawful purposes.

3. Account Responsibilities

You are responsible for:

  • Maintaining accurate account information.
  • Protecting your login credentials.
  • Restricting access to authorized employees.
  • Activities performed under your account.
  • Immediately notifying us of unauthorized access.

4. Subscription and Payments

Certain Services require a paid subscription.

You agree to:

  • Pay all applicable subscription fees.
  • Pay applicable taxes where required.
  • Maintain valid payment information if automatic billing is enabled.

Failure to pay subscription fees may result in suspension or termination of Services.

Unless otherwise stated, subscription fees are non-refundable.

5. Trial Services

If a free trial is offered:

  • Trial features may be limited.
  • Trial periods may end automatically.
  • We may discontinue trial access at any time.

6. Business Data

You retain ownership of all business data uploaded to the Services, including:

  • Products
  • Customers
  • Orders
  • Inventory
  • Employees
  • Reports
  • Loyalty data
  • Gift cards

You grant Velocity POS a limited license to process this data solely for providing and improving the Services.

7. Data Backup

We implement backup procedures; however, you remain responsible for maintaining copies of important business records.

We are not liable for data loss caused by user actions, third-party services, hardware failures, or events beyond our reasonable control.

8. Third-Party Integrations

The Services may integrate with third-party providers including:

  • Payment gateways
  • SMS providers
  • WhatsApp providers
  • Email services
  • Delivery partners
  • Accounting software
  • Hardware manufacturers

We are not responsible for the availability, functionality, or policies of third-party services.

9. Acceptable Use

You agree not to:

  • Use the Services for illegal activities.
  • Upload malicious software.
  • Interfere with system security.
  • Attempt unauthorized access.
  • Abuse APIs.
  • Circumvent subscription restrictions.
  • Infringe intellectual property rights.
  • Use the Services to distribute spam.

10. Intellectual Property

Velocity POS and all associated software, designs, trademarks, logos, documentation, source code, databases, and content are owned by Velocity POS or its licensors.

Except for the limited license granted under these Terms, no ownership rights are transferred to you.

11. Updates

We may:

  • Release software updates.
  • Add new features.
  • Remove features.
  • Improve security.
  • Fix bugs.

Some updates may be mandatory to continue using the Services.

12. Availability

While we strive for high availability, we do not guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable due to:

  • Maintenance
  • Network failures
  • Cloud provider outages
  • Force majeure events
  • Security incidents

13. Support

Support is provided according to your subscription plan.

Support may be offered through:

  • Email
  • Chat
  • Telephone
  • Remote assistance
  • Documentation

We do not guarantee specific response or resolution times unless agreed in writing.

14. Hardware Compatibility

Velocity POS supports selected hardware devices including printers, barcode scanners, cash drawers, biometric devices, and other peripherals.

Compatibility may vary by manufacturer, model, operating system, or firmware version.

15. Suspension and Termination

We may suspend or terminate your account if you:

  • Breach these Terms.
  • Fail to pay subscription fees.
  • Engage in fraudulent or illegal activities.
  • Misuse the Services.
  • Create security risks.

You may stop using the Services at any time by cancelling your subscription.

16. Limitation of Liability

To the maximum extent permitted by law:

Velocity POS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, loss of goodwill, or loss of data arising out of or relating to the use of the Services.

Our total aggregate liability arising from or relating to the Services shall not exceed the amount paid by you to Velocity POS for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

17. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Velocity POS disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

18. Indemnification

You agree to indemnify and hold harmless Velocity POS, its directors, employees, affiliates, partners, and licensors from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of applicable laws.
  • Claims relating to your business activities or customer interactions.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Kerala, India, unless otherwise required by applicable law.

20. Changes to These Terms

We may revise these Terms from time to time.

Updated Terms will become effective upon publication or as otherwise communicated.

Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

21. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Velocity POS regarding the Services.
